Mobile Ticketing App Terms & Conditions
Thank you for using the Santa Cruz METRO (METRO) Mobile Ticketing App, (“METRO Splash Pass” or “App”), brought to you by METRO, with mobile pass sales provided by Masabi LLC (Masabi) under the brand name “justride.”. This App allows you to pay the fare to ride a METRO-operated vehicle or transfer from a METRO Highway 17 Express vehicle to a Santa Clara Valley Transportation Authority (VTA) operated vehicle. METRO and Masabi may modify the App terms and conditions at any time by posting revised terms and conditions. By using the App, you are agreeing to accept the below terms and conditions, METRO’s privacy policy (scmetro.org/organization/privacy-use/), and Masabi’s privacy policies (masabi.com/privacy-statement/, masabi.com/privacy-notice/, and masabi.com/terms-of-use/).
Terms and Conditions:
- Purpose of the Services and Access License. Mobile passes are a type of pass that are purchased only through the App or its accompanying web portal and valid for use on a METRO operated vehicle or a transfer from a METRO Highway 17 Express vehicle to a VTA operated vehicle. METRO grants you the right to download, install and use the App on your mobile phone to purchase passes and access information in accordance with these terms and conditions. You do not and will not own the App or any information that is provided to you through it or METRO, but you may use the App in accordance with these terms and conditions solely for the purposes of purchasing and using mobile passes and accessing transportation information for your own personal use and not for any other purpose. The App is provided to you free of charge. METRO can suspend access to purchasing passes through the App for any reason.
- Using the Pass. The mobile pass can be used on METRO transit routes, including local routes and the Amtrak / Highway 17 Express. Highway 17 Express Day passes and 31-Day passes are valid for travel on METRO and VTA local routes in addition to Highway 17 Express. The travel is based on fare applicability on METRO buses at the time of purchasing a pass. The mobile pass is valid when the ticket is activated on the App after purchase. You may not start your trip on a METRO vehicle until you have a valid, activated fare or pass. Once purchased, the mobile pass will specify the fare type, the validity of the pass and its expiration date. Your mobile pass must be displayed clearly on the mobile phone screen when a METRO or VTA bus operator, fare enforcement officer, security guard, or police officer asks to view the mobile pass. The mobile pass must be retained during your entire trip on a METRO operated trip, and during the entire VTA operated trip, in the case of a transfer from Highway 17 Express. If you are unable to show a valid pass, you may be subject to a fine.
- Fares, Discount Fares and Receipts.
- The price of a mobile pass is the same as a pass you purchase from a METRO Customer Service window or Pass Sales Outlet. When you purchase a mobile pass on the App you will be notified of the price of the pass before you confirm your purchase, and you will receive a receipt from justride.com delivered to the email address entered during the payment process, or on file for a registered account. - When you purchase a Discount mobile pass on the App you must be eligible for Discount Fare eligibility and have a valid Discount Photo ID issued to you. For more information on Discount Fares, please visit the METRO website: scmetro.org/rider-info/accessibility/#discount-fares.
- Changes, Refunds and Pass Expiration. METRO operates with a no refund policy. However, customers have the ability to initiate a self-service refund in the event that they purchase a mobile pass by mistake. This “self-refund” must be performed within 5 minutes of ticket purchase or the ticket becomes non-refundable. Once a ticket is activated from the Ticket Wallet, it is no longer eligible for a refund, even within five minutes of purchase.The decision to change, cancel or refund a mobile pass is made at METRO’s sole and absolute discretion. Neither METRO nor Masabi shall be obliged to change, cancel, replace or refund a ticket where METRO has reason to believe that the circumstances prompting the change, cancellation, replacement or refund is the result of fraud.
- Lost, Stolen, and Invalid Passes. The security of your mobile phone and mobile pass are your responsibility. In the event that the pass or your mobile phone is lost or stolen, METRO will not provide a duplicate or replacement pass. If the mobile pass has been damaged or is not readable in any way, the pass becomes invalid and a new one must be purchased. If you delete the App you will also delete your mobile passes. If you reinstall the App on the same device it was deleted, your passes will be downloaded to the device. You cannot print or transfer mobile passes.
- Mobile Pass Partner and Public Transportation Services. Your METRO mobile pass will be sold to you via METRO’s mobile pass partner, Masabi, under Masabi’s mobile ticketing brand, “Justride.”. The mobile pass itself creates a contract between you and METRO for the provision of the public transportation services that the mobile pass allows you to use. It is METRO that provides the public transportation services to you under the mobile pass and in no event will Masabi be responsible for or have any liability to you in relation to these services or their availability or performance (including your use or access to any METRO operated vehicle, the METRO network, your use of any services provided under your mobile pass or for your use of the App).
- Security of Account Information. As part of your registering for the App, you will select a User ID and an Account Password, which will be linked to your payment and contact information. You are responsible for maintaining the security and confidentiality of your User ID and Account Password. You are also solely responsible for all activities that occur through your User ID and Account Password. You agree not to access or use, or attempt to access or use, the App, METRO or Masabi’s websites, or any part of them by using the identity or the registration data of any person other than yourself. You agree to notify METRO and Masabi immediately of any unauthorized use of your User ID or Account Password.
- Data Charges. The App is free, but by using the App you may incur data charges from your cell phone network provider. You are solely responsible for any such costs. METRO is not responsible for any connectivity issues you may experience.
- Materials, Ownership and Restrictions on Use. The App is operated by METRO and is either owned by METRO or its third party licensors (including without limitation Masabi) and any data, text, graphics, images, audio and video clips, logos, icons, software and links and any intellectual property and other rights relating thereto, are and will remain the property of METRO or Masabi or their respective licensors. You may not copy (other than copies made incidentally on your mobile device in the course of your use of the App), reproduce, republish, upload, post, transmit or distribute the App or any of its content without the prior written permission of METRO and its licensors.
- Linking and Hyperlinking. You are granted a limited, non-exclusive right to create a text hyperlink to the App, provided that the linking website does not contain any illegal material, such link is not for an illegal purpose, and nothing about the presentation of the link conveys or otherwise implies any endorsement or sponsorship of you by METRO or Masabi or other affiliation between you and METRO or Masabi. This limited right may be revoked at any time. You may not use a METRO or Masabi logo or other proprietary graphic to link to the App without the express written permission of METRO or Masabi. Further, you may not use, frame or utilize framing techniques to enclose any METRO or Masabi trademark, logo or other proprietary information, including the images found on the App, the content of any text or the layout/design of any page or form contained on a page on the App without METRO’s express written consent. Except as noted above, you are not conveyed any right or license by implication, estoppel or otherwise in or under any patent, trademark, copyright or proprietary right of METRO or any third party.
- User Code of Conduct. In connection with your use of the App, you agree that you will not:
- Restrict or inhibit any other visitors or users from lawfully using the App, including, without limitation, by means of “hacking” into or otherwise accessing the App in a manner that is not authorized by METRO or defacing any portion of the App;
- Use the App for any unlawful purpose;
- Transmit any software onto the App that contains any viruses, worms, Trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
- Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the App, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the App;
- Attempt to access another person’s personal information or data on the App;
- Remove any copyright, trademark or other proprietary rights notices contained on the App;
- “Frame” or “mirror” any part of the App;
- Use any robot, spider, offline reader, search/retrieval application or other manual or automatic device or process to retrieve, index, data-mine or in any way reproduce or circumvent the navigational structure or presentation of the App or its contents without METRO’s prior written consent;
- Upload or attempt to upload content to the App other than the information specifically required by the METRO for your access to or use of the App;
- Make or seek to make derivative works based on the App;
- Take any action that imposes or may impose (in METRO’s sole discretion) an unreasonable or disproportionately large load on METRO’s (or its third-party providers’) infrastructure; or
- Intentionally damage or deface any METRO property, including facilities, vehicles, equipment.
- Information and Content Provided by METRO. Although METRO strives to provide information and content that is both useful and accurate, the nature of the data and other information contained on the App may be subject to frequent change. In addition, the facts and circumstances of every situation differ. Accordingly, although METRO endeavors to use reasonable care in assembling the information, the information may not be up-to-date, accurate or complete.
- Consent to Receive Emails and Notice. As long as you maintain an account, you may not “opt out” of receiving account-related emails or messages from METRO, including Masabi/justride, or and Masabi’s subconsultants. Your address for the receipt of notices pursuant to this agreement shall be the current email address listed by you in your account profile. You also agree, unless you opt out, to receive METRO service updates and marketing emails related to the App.
- Updates. METRO reserves the right to issue updates to the App, in which case you may not be able to continue use of the version of the App installed on your mobile device without downloading the latest update. METRO recommends that you download and install all updates issued. METRO is not liable for errors which become apparent in old versions of the mobile application.
- Indemnification. You agree to indemnify, defend and hold harmless METRO, Masabi, and the Santa Clara Valley Transportation Authority and all of their respective officers, directors, employees, volunteers and agents, affiliates, licensors, clients, suppliers, advertisers, sponsors and contractors, the successors and assigns of any of them (“Indemnitees”), from and against any and all claims, damages, losses, costs and other expenses that arise directly or indirectly out of or from (a) your breach of this agreement and/or (b) your activities in connection with the App. This section will survive termination or expiration of this agreement.
- Liability Disclaimer. In no event will METRO, Masabi, or VTA be liable for any direct, indirect, special, punitive, exemplary or consequential losses or damages of whatsoever kind arising out of your use or access to the App, including loss of profit or the like whether or not in the contemplation of the parties, whether based on breach of contract, tort (including negligence), product liability or otherwise. METRO, Masabi and VTA shall not be liable for any damage or alteration to your equipment including but not limited to computer equipment, handheld device or mobile telephones as a result of the installation or use of the App or any mobile pass. Nothing in these terms and conditions shall exclude or limit a person’s liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation or any other liability which cannot be excluded or limited under applicable law. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE APP IS TO STOP USING THE APP. THE MAXIMUM LIABILITY OF METRO AND ITS LICENSORS AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ALL DAMAGES, LOSSES SUFFERED BY YOU, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE) OR OTHERWISE ARISING OUT OF OR RELATING IN ANY WAY TO ACCESS TO, OR USE OF, THE APP OR METRO’S WEBSITE, OR THE PRODUCT OR SERVICES PURCHASED THROUGH THE APP, SHALL BE EQUAL TO THE FARES YOU PURCHASED IN THE LAST TWELVE (12) MONTHS USING THE APP OR FIVE HUNDRED DOLLARS ($500.00), WHICHEVER IS LESS. This section will survive termination or expiration of this agreement.
- Termination and Other Remedies. This agreement shall remain effective until terminated in accordance with the terms of this agreement.
- METRO reserves the right to modify or terminate this agreement, and/or your access to and use of the App or any portion thereof, immediately without notice at any time and for any reason, with or without cause. Upon termination of this agreement, your right to use the App shall immediately cease, and you agree that you will destroy all content obtained from the App and all copies thereof, whether made under this agreement or otherwise. You agree that any termination of your access to or use of the App may be affected without prior notice and that METRO may immediately deactivate or delete your User ID and Account Password, and all related information and files associated with your account, and/or bar any further access to such information or files. You agree that METRO shall not be liable to you or to any third party for any termination of your access to the App or to any such information or files and shall not be required to make such information or files available to you after any such termination.
- Violations of this Agreement, including unauthorized use of the App, may be investigated, and appropriate legal action may be taken, including without limitation civil, criminal and injunctive action. You agree that monetary damages may not provide a sufficient remedy to METRO or Masabi for violations of this agreement, and you consent to injunctive or other equitable relief for such violations.
- METRO is not required to provide any refund to you if it exercises any of its rights or remedies because you have violated this agreement or any of METRO’s rights. Additionally, METRO reserves the right, in its sole discretion, to modify, suspend or discontinue any part of the App at any time, or to impose limits on certain features and App and to restrict access to any part or to all of the App, without notice to you. METRO shall not be liable to you or to any third party for any claim or cause of action arising out of its exercise of these rights.
- All protective provisions of this agreement shall survive termination, including but not limited to intellectual property protections, warranty disclaimers, indemnity and limitations of liability.
- Jury Trial and Class Action Waiver. You acknowledge and agree that you are waiving the right to a trial by jury and are waiving the right to participate as a class representative plaintiff and/or class member in any purported class action or representative proceeding. Further, an arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding. This section will survive termination or expiration of this agreement.
- General Disclaimer. You acknowledge that you are responsible for obtaining and maintaining all telephone, computer hardware, Internet access, and other equipment needed to access and use the App and you are solely responsible for all charges related to those activities. You assume all responsibility and risk for your use of the App and your reliance thereon. No opinion, advice or statement of METRO, whether made on the App or otherwise, shall create any warranty. Your use of the App and of any content provided through the App are entirely at your own risk. You acknowledge and agree that neither METRO nor its licensors or vendors are responsible for any contact or interaction between you and any other user of the App and that you bear the sole risk of transmitting through the App, any content, including payment information and information that identifies you or your location. The payment of a fare using the App does not guarantee that transit service will be provided or available at the time scheduled or that transit service will be timely, available, not delayed, cancelled or changed as to time or location. Your use of the App does not create a bailment or other liability for your personal property that you may bring on board a transit vehicle.
- Warranty Disclaimer. The App, the information and content on the App, and any product or service obtained through the App are provided “as is” and “as available,” without representations, promises or warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, METRO, Masabi and its licensors and clients disclaim all warranties, express or implied, with respect to the App and any product or service obtained through the App, including without limitation implied warranties of title, non-infringement, accuracy, merchantability and fitness for a particular purpose, and any warranties that may arise from course of dealing, course of performance or usage of trade. Neither METRO nor its employees, officer, licensors or vendors warrant that your use of the App will be uninterrupted, error-free or secure, that defects will be corrected, or that the App and the server(s) on which the App is hosted are free of viruses or other harmful components. METRO does not and cannot guarantee that technical difficulties will not occur during the download of the App or that the App will download successfully, or that the App will operate without interruption or error.
- Choice of Law and Venue. This Agreement is made and will be performed entirely in Santa Cruz, California. Any and all claims, causes of action or disputes (regardless of theory) between you and METRO arising out of or related to this agreement, the App, METRO’s website, or content accessed through the App, and transactions made through use of the App, including but not limited to disputes concerning the transfer of funds related to fare payment, shall be governed by the laws of the State of California without regard to conflict or choice of law principles, and that venue for any such action shall be in Santa Cruz.
- Severability. If any part of the agreement should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction, then such term shall be enforced only to the extent that it is enforceable, and the remaining terms shall survive and remain in full force and effect and continue to be binding and enforceable.
- Waiver. No waiver of any term, provision or condition of the agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or shall constitute a waiver of any other term, provision or condition hereof, whether or not similar, nor shall such waiver constitute a continuing waiver of any such term, provision or condition hereof. No waiver shall be binding unless executed in writing by the party making the waiver.
